Livingston’s Way Event Waiver and Participant Release

This waiver and release agreement (“Agreement”) is entered into by and between the undersigned participant (“You”) and Livingston’s Way (“LW”), in connection with Your attendance and participation in events powered by Livingston’s Way, including Wave Makers fundraising events, summit, finalists challenge, symposiums, and any other event (the “Event”). By registering for this event, you agree to the terms and conditions set forth herein:

You hereby grant to LW and any anyone or any other entity authorized by LW (the “Released Parties”), the right and license to use your name, likeness, voice, and statements attributed to You (“Material Containing You”), in any manner, in any and all media now known or hereinafter invented, including but not limited to the Internet and social media platforms, in perpetuity, worldwide for the purposes of creating, publishing and broadcasting advertising/promotional/merchandising for LW ("Advertising") without any limitations. You hereby agree that you shall have no right to approve any such Material Containing You. You represent and warrant that You have the legal authority to enter into the Agreement and to grant all rights herein in and to the Advertising without violating the legal or equitable rights of any third party, and that LW’s use of the Advertising shall not require payment to, or additional permissions from, any third party. You agree to maintain in confidence any and all information about the Advertising until the first date of public use of the Advertising.

represent and warrant that the statement(s) and information attributed to You and any modifications thereof by LW which do not alter the spirit or integrity of Your opinion, may be used in any advertising, marketing or promotion, that they accurately reflect Your opinion, and the statements made are known to be true and are based on personal familiarity with Your participation in LW’s programs.

You agree to release, discharge, indemnify, defend, and covenant not to sue LW FOR ANY AND ALL CLAIMS, DAMAGES, LIABILITIES, SUITS, DEMANDS, COSTS, EXPENSES AND ACTIONS OF ANY KIND WHATSOEVER (INCLUDING REASONABLE ATTORNEYS’ FEES AND COURT COSTS), WHICH MAY ARISE FROM OR IN CONNECTION WITH YOUR PRESENCE OR PARTICIPATION IN THE EVENT OR FROM USE OF THE MATERIAL CONTAINING YOU IN THE ADVERTISING, INCLUDING, WITHOUT LIMITATION (A) ANY PROPERTY DAMAGE, PERSONAL INJURIES, DISABILITY, DEATH OR OTHER DAMAGE SUFFERED BY ME, THE RELEASED PARTIES, OR ANY THIRD PARTY, WHETHER CAUSED, IN WHOLE OR IN PART, BY THE SOLE OR CONCURRENT NEGLIGENCE OR WRONGDOINGS, STRICT LIABILITY OR FAULT OF THE RELEASED PARTIES, YOURSELF OR OTHERWISE; OR (B) ANY BREACH OF THIS RELEASE OF ANY VIOLATION OF LAW BY YOU.

You warrant that You are of legal age of majority in Your state of residence and have every right to contract in Your own name without violating any other commitment. If You are a minor in your state of residence (under 19 in AL and NE and under 18 in all other states), Your parent or legal guardian (who is signing below) guarantees Your performance of all of the obligations, the accuracy of the representations stated above and the truthfulness of all information contained therein.

If You are under the legal age of majority in Your state (under 19 in AL and NE, and under 18 in all other states), this Agreement must also be signed by Your parent or legal guardian. The parent or guardian guarantees the performance of all obligations under this Agreement and affirms the truthfulness of all representations herein.

You understand and acknowledge that the LW has not arranged for and does not carry insurance of any kind for Your benefit relative to Your participation in the Event. You understand and acknowledge that Your participation in the Event is wholly voluntary and You are fully aware of the inherent hazards, dangers and risks involved, including death, disability, injury and/or property damage. You agree that the Event involves many obvious and not-so-obvious risks, dangers, and hazards, which may result in injury or death to You or others, as well as damage to property, and that such risks, dangers, and hazards cannot always be predicted or avoided. You agree that such risks, dangers, and hazards are Your sole responsibility. You agree that if Your participation in the Event causes any injury or damage to another person or property, then You are liable for all resulting injuries, damages, and related costs.

You further acknowledge that all Event-related transactions, including donations and ticket purchases, are nonrefundable, even in the event of unforeseen circumstances, such as inclement weather, acts of God, or other force majeure events.

All donations and transactions made to Livingston’s Way are considered contributions to a nonprofit organization. You are advised to consult with a tax professional or refer to IRS guidelines to determine the deductibility of any donation.

This Agreement shall be construed and interpreted in accordance with the internal laws of the State of Florida, applicable to contracts made and performed entirely therein, without regard to conflicts of laws principles. You agree and consent that jurisdiction and venue of all matters relating to this Agreement shall be vested exclusively in the federal, state and local courts in Palm Beach County, Florida.

By registering for this Event, You acknowledge that You have read, understood, and agree to be bound by the terms and conditions outlined in this Agreement. Your registration serves as Your electronic signature, indicating Your acceptance of these terms, including the waiver, release, and indemnification provisions, as well as consent to the use of Your name, image, and likeness as described herein.
